1. DEFINITIONS
The following capitalized terms have the meanings set forth below:
1.1 “Accessible IP” means the Cognitive Engine Accessible IP or Media Accessible IP that is the subject of this Access Agreement.
1.2 “Accessible IP Policy” means a policy for administering a group of Accessible IPs that is unified by a shared theme, origin or licensing structure, and which policy is set forth by the relevant owners of the Accessible IPs. For example, an Accessible IP Policy may cover a group of Accessible IPs related to a specific character or a specific type of content, such as comic book art.
1.3 “Accessible IP Owner” means the person or entity that owns or controls the necessary rights in the Accessible IP to be able to grant the license set forth in this Access Agreement, and who is granting the licensed rights under this Access Agreement. The identity of the Accessible IP Owner will be identified in the metadata for the Access Token.
1.4 “Access Token” means a blockchain-based digital token that is created by the Accessible IP Owner and linked to the Accessible IP, and which is used to facilitate the grant of the License set forth in this Access Agreement.
1.5 “Cognitive Engine Accessible IP” means a set of cognitive engine, artificial intelligence or machine learning models, along with all relevant components, such as trained weights, configuration parameters, and the code necessary for tasks like inference, training, and fine-tuning. This includes any additional source code or scripts associated with these elements. Once these models and components are registered within the Fipchain Framework, they are designated as available for licensing.
1.6 “Commercial Use” means any use that is primarily intended for or directed towards commercial advantage or monetary compensation.
1.7 “Derivative Accessible IP” means any adaptation, derivative work, amendment, transformation, modification, remix, or other alteration of the Accessible IP.
1.8 “Genesis Protocol Framework” means the blockchain-based openly accessible Framework for registering various works of authorship on a public open registry.
1.9 “Media Accessible IP” means the artwork, image, video, content or other work of authorship that has been registered to the Genesis Protocol Framework as being available for grant or license.
1.10 “Revenues” means the definition that is input by Accessible IP Owner in the “Revenues” tag of the Grant Parameters, if any, or the default definition set forth in Section 3.1(j).
1.11 “Revenue Ceiling” means, if applicable, a maximum amount of Revenues that you may receive in connection with use of the Accessible IP or your Derivative Accessible IP, as applicable.
1.12 “Revenue Share” means the percentage of Revenues due from you to Accessible IP Owner in connection with your use of the Accessible IP or your Derivative Accessible IP, pursuant to the License and Grant Parameters.
1.13 “Genesis Protocol Framework” means the blockchain-based openly accessible Framework for registering various works of authorship on a public open registry.
